API Terms of Use

By accessing or using any API created or developed by ANOVA APPLIED ELECTRONICS, INC., a Delaware corporation with a place of business at 180 Steuart Street #192843, San Francisco, CA 94105 ("Anova", "we", "us", or "our"), the entity or individual ("you" or "Licensee") entering these API Terms of Use (these “API Terms”) with Anova, you agree to comply with these API Terms. You represent and warrant to Anova that you have the authority to accept these API Terms on behalf of yourself or your organization, as applicable. We may change, amend or terminate these API Terms at any time in our sole discretion by posting an updated copy of these API Terms to our developer API webpage (the “Site”). Your use of the Anova API following any modification to these API Terms constitutes your acceptance of the new API Terms. Do not access or use the Anova API after any such change if you do not accept the new API Terms.
Definitions
- API: an application programming interface developed by Anova, including any API Documentation or other API materials made available to you, that enables you to access Appliance Data.
- API Documentation: the API documentation made available by Anova from time to time, including, without limitation, through its website.
- API Key: the security key or code Anova makes available to you to access the API.
- Appliance: an Anova sous vide cooker or oven.
- Appliance Data: any data or content regarding your Appliance, including historical data, via the API.
- Applications: any applications developed by you to interact with the API for the purpose of accessing your Appliance Data and creating Remote Control functionality for your Appliance (e.g., creating dashboards, integrating with an existing home network, etc.).
- Updates: any updates, bug fixes, patches, or other error corrections to the API that Anova generally makes available free of charge to all licensees of the API.
- Remote Control: functionality to execute the commands available for your Appliance (e.g., start/stop, temperature control, etc.) remotely.
License
License Grant
Subject to and conditioned upon your compliance with these API Terms, Anova hereby grants to you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the API solely for your personal, non-commercial purposes to develop Applications that will communicate and interoperate with your Appliance, including to create Remote Control features for your Appliance.
Use Restrictions
You shall not use the API for any purposes beyond the scope of the license granted herein. Without limiting the foregoing and except as expressly set forth in these API Terms, you agree that you shall not at any time, and shall not permit others to:
- Copy, modify, or create derivative works of the API, in whole or in part.
- Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the API.
- Reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to any software component of the API, in whole or in part.
- Remove any proprietary notices from the API.
- Use the API in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any applicable law.
- Combine or integrate the API with any software, technology, services, or materials not authorized by Anova.
- Use the API in a way that could impair, harm or damage Anova (including the reputation of Anova), the API, your Appliance, Appliance Data, or a third party's use of the API or any Anova Appliance.
- Use the API in any of the Applications in a manner to replicate or attempt to replace the need for any Anova-developed features, functions, or mobile applications.
- Use the API to sell, share, transfer or make otherwise available the Appliance Data, directly or indirectly, to any third party, unless otherwise expressly authorized by Anova, including for purposes of targeted advertisement.
- Attempt to cloak or conceal your identity or the identity of the Applications when requesting authorization to use the API.
- Use the API to disrupt, interfere with, or attempt to gain unauthorized access to products, services, servers, devices, or networks connected to or which can be accessed via the API.
- Use an unreasonable amount of bandwidth, or adversely impact the stability of the APIs or attempt to circumvent the limitations set by Anova on your use of the API.
Anova may set and enforce limits on your use of the API in its sole discretion.
Reservation of Rights
Anova reserves all rights not expressly granted to you in these API Terms. Except for the limited rights and licenses expressly granted hereunder, nothing in these API Terms grants to you or any third party, by implication, waiver, estoppel, or otherwise, any intellectual property rights or other right, title, or interest in or to the API or any Appliance.
Your Responsibilities

You are responsible and liable for all uses of the API resulting from the API Keys assigned to you, directly or indirectly, whether such access or use is permitted by or in violation of these API Terms.

You must obtain an API Key to access and use the API. You may not share the API Key with any third party, must keep the API Key and all log-in information secure, and must use the API Key as your sole means of accessing the API. The API Key may be revoked by Anova at any time in its sole discretion.

You shall comply with these API Terms, all applicable laws, rules, and regulations, and all API Documentation, guidelines, standards, and requirements that may be posted on the Site from time to time.

You shall implement and maintain industry-standard data security measures to protect the security, operability, availability, and functionality of your Application. You agree you shall not use the API to:
- Gain or attempt unauthorized access to portions or segments of the Site or to any Appliance to which access has not been granted.
- Distribute or attempt to distribute malicious code.
- Spy or attempt to install spyware or other unauthorized monitoring or surveillance tools to the Site or any Appliance.
- Download, store, or distribute materials in violation of Anova's or any third party’s copyright or intellectual property rights.
- Create undue security risks or negatively impact the performance of the API or an Appliance.

You will promptly notify Anova if you become aware of any unauthorized use of the Anova API or of the Appliance and shall cooperate with Anova in any legal or remedial action to protect Anova’s intellectual property rights.

You acknowledge that Anova may use technology to detect, prevent or limit the impact of any issues caused by your Application, including filtering spam, performing security or privacy monitoring, or limiting or terminating your access to the API.

You will permit Anova reasonable access to your Application for purposes of monitoring compliance with these API Terms and provide access to verify compliance if requested.
Updates
No Support
Unless otherwise agreed by Anova and you in writing, nothing in these API Terms shall entitle you to any support for the API.
Updates
Anova may, from time to time, provide you with Updates, each of which is a part of the API and subject to these API Terms. You acknowledge that Anova may require you to obtain and use the most recent version of the API as a condition of permitting you access to the API Key. Updates may adversely affect how the Applications communicate with your Appliance. You are required to make any changes to the Applications that are required for integration as a result of such Update at your sole cost and expense.
Fees
All costs and other expenditures incurred by you to create, implement and maintain your Application shall be borne solely by you. Unless otherwise agreed by you and Anova in writing, no license fees or other payments will be due in exchange for the rights to access the API. You acknowledge and agree that this fee arrangement is made in consideration of the mutual covenants set forth in this agreement, including the disclaimers, exclusions, and limitations of liability set forth herein.
Confidential Information
From time to time during the Term, either party may disclose or make available to the other party information about its business affairs, products, confidential intellectual property, trade secrets, third-party confidential information, and other sensitive or proprietary information, whether orally or in written, electronic, or other form or media (collectively, “Confidential Information”). Confidential Information does not include information that, at the time of disclosure, is:
- In the public domain;
- Known to the receiving party at the time of disclosure;
- Rightfully obtained by the receiving party on a non-confidential basis from a third party; or
- Independently developed by the receiving party.
The receiving party shall not disclose the disclosing party’s Confidential Information except to employees who need to know. Each party may disclose Confidential Information to comply with a court order or to establish rights under this Agreement. Upon expiration or termination of these API Terms, the receiving party shall return or destroy all copies of Confidential Information and certify destruction upon request. Non-disclosure obligations expire five years from disclosure, except trade secrets, which remain protected as long as they remain trade secrets.
Collection and Use of Information
Anova may collect certain information through the API or your Appliance about you. By accessing and providing information through the API or your Appliance, you consent to all actions taken by Anova with respect to such information in compliance with Anova’s privacy policy and data protection requirements. You agree to comply with all laws and regulations applicable to your use of Anova data, including privacy and confidentiality laws. Your use of the API is conditioned upon implementing appropriate protections for data obtained through the API.
Intellectual Property Ownership; Feedback
You acknowledge that, as between you and Anova:
- Anova owns all right, title, and interest, including intellectual property rights, in and to the API, the Appliance, and the Anova Marks.
- If you develop any new features or functionalities with the API, you and Anova shall negotiate usage rights in good faith.
- Any feedback you provide (“Feedback”) is non-confidential and Anova may use it without attribution or compensation.
Disclaimer of Warranties
THE API IS PROVIDED “AS IS” AND “AS AVAILABLE” TO THE EXTENT PERMITTED UNDER APPLICABLE LAW. ANOVA MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. YOU USE THE API AT YOUR OWN RISK. ANOVA DOES NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION AND DISCLAIMS LIABILITY FOR INTERRUPTIONS OR ERRORS.
Indemnification
You agree to indemnify, defend, and hold harmless Anova and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any losses, damages, liabilities, claims, actions, judgments, settlements, penalties, fines, costs, or expenses (including attorneys’ fees) arising from:
- Your breach of these API Terms;
- Your use or misuse of the API or Appliance Data;
- Your Applications, including transmission of malware or defects.
Anova will notify you of claims and may assume control of the defense. You may not settle claims without Anova’s consent.
Limitations of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ANOVA WILL NOT BE LIABLE FOR:
- ANY LOST PROFITS, LOST OR CORRUPTED DATA, COMPUTER FAILURE, INTERRUPTION OF BUSINESS, OR OTHER SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
- DAMAGES IN EXCESS OF $100 IN THE AGGREGATE.
Termination
Term and Termination
These Terms apply from the date you agree until terminated. Anova may suspend or terminate these API Terms and your license at any time, for any reason, upon notice. You may terminate by ceasing use of the API.
Effect of Expiration or Termination
Upon termination, all licenses and rights granted to you terminate and you must cease using, destroy, and permanently erase all copies of the API and Anova Marks.
Survival
Provisions that by nature survive termination (e.g., indemnification, confidentiality, limitations of liability) survive.
Miscellaneous
Entire Agreement
These API Terms and documents incorporated by reference constitute the entire agreement and supersede all prior agreements.
Modifications
Anova may modify or discontinue the API or these Terms at any time by posting updates to the Site. Modifications take effect upon continued use.
Severability
If any provision is invalid or unenforceable, it will be modified to be enforceable, and the remainder will remain in effect.
Governing Law and Jurisdiction
These Terms are governed by California law. Disputes must be filed within one year and submitted to state or federal courts in San Francisco, California, without a jury.
Assignment
You may not assign these Terms without Anova’s consent; Anova may assign freely. These Terms bind successors and assigns.
Export Regulation
You shall comply with US export control laws and not export the API to prohibited jurisdictions.
US Government Rights
The API is a “commercial product” under 48 C.F.R. § 2.101. US Government licensees receive only the rights granted to all other end users.
Independent Contractors
These Terms do not create an employer-employee, processor-subprocessor, partnership, or joint venture relationship.
No Waiver
Failure to act on a breach does not waive rights for that or future breaches.
